1.1 In these Terms and Conditions, unless the context otherwise requires:
"Applicable Laws" means all laws, statutes, regulations, and similar instruments from time to time in force applicable to the Parties, the Services, and the Contract.
"Business Day" means any day (other than Saturday or Sunday) on which ordinary banks are open for their full range of normal business in the United Kingdom.
"Business Hours" means 9:00 a.m. to 5:00 p.m. on a Business Day.
"Client" means the party procuring the Services from the Service Provider under the Contract.
"Confidential Information" means, in relation to either Party, information which is disclosed to that Party by the other Party pursuant to or in connection with the Contract.
"Contract" means the agreement entered into by the Service Provider and the Client for the provision of Services.
"Fees" means any and all sums due under the Contract from the Client to the Service Provider in consideration of the Services.
"Intellectual Property Rights" means all patents, rights to inventions, copyright and related rights, trade marks, service marks, and all other intellectual property rights.
"Services" means the services to be provided by the Service Provider to the Client as agreed in writing.
"Website" means the website operated by SME Solutions Group Ltd ta SME Formations.
"Social Media Pages" means any social media platforms operated by SME Solutions Group Ltd.
"Complaints Policy" means the document outlining the process for handling complaints, available at https://smeformations.co.uk/.
2. Basis of Contract
An Order constitutes a contractual offer by the Client to procure Services from the Service Provider in accordance with these Terms and Conditions.
The Contract shall come into effect upon the Service Provider's written acceptance of the Order.
By using the Website or purchasing Services, the Client agrees to these Terms and Conditions and any related policies.
3. Use of the Website
The information on the Website is provided for general purposes and does not constitute legal or professional advice.
The Client must not misuse the Website by introducing malicious software, attempting unauthorized access, or engaging in prohibited activities.
The Service Provider reserves the right to remove any content uploaded by users that violates these Terms or applicable laws.
4. Client Obligations
The Client shall provide all co-operation, materials, and information reasonably required by the Service Provider to perform the Services.
The Client must ensure the completeness and accuracy of all information provided in connection with the Services.
The Client is solely responsible for maintaining the confidentiality and security of any account details.
The Client agrees to indemnify the Service Provider for any claims or liabilities arising from unauthorized use of the Website or services.
5. Fees, Payment, and Refunds
Fees are as set out in the Order or as otherwise agreed in writing.
Payments shall be made in full without deduction or withholding within 30 Business Days of the invoice date unless otherwise agreed.
Refunds are available for cancellations made within 14 days if work has not commenced on the Services.
6. Service Provider Obligations
The Service Provider shall perform the Services with reasonable care and skill in accordance with industry standards.
The Service Provider reserves the right to withdraw or amend any Services or features on the Website without prior notice.
The Service Provider will make reasonable efforts to meet agreed timelines but does not guarantee completion by specific dates.
7. Indemnity and Liability
The Client agrees to indemnify the Service Provider against any losses arising from unauthorized use of the Client's account.
The Service Provider's liability for any claim under these Terms is limited to the Fees paid for the affected Services.
The Service Provider excludes liability for indirect or consequential losses, including loss of profit, data, or business opportunity.
8. Intellectual Property Rights
All Intellectual Property Rights in materials provided by the Client remain the property of the Client.
The Service Provider retains ownership of Intellectual Property Rights in all materials, content, and tools provided as part of the Services.
The Client is granted a non-exclusive license to use materials provided by the Service Provider solely for the purposes of the Services.
9. Data Protection
The Service Provider complies with UK GDPR and other applicable data protection legislation.
The Client must ensure they have the necessary consents to provide personal data to the Service Provider.
10. Governing Law and Jurisdiction
These Terms are governed by English law, and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
